A contract by which the Contractor undertakes the entire obligation for construction of the project. The Contractor then engages Subcontractors to carry out aspects of the construction process and coordinates the Subcontractors to ensure their compliance with the Head Contract.

A Heads of Agreement describes the key commercial terms of a particular transaction.  It is an agreement which contemplates that a later agreement will deal more fully with the transaction.
